Health Care M&A Volume and Value Slides in Q3:2018, According to Acquisition Data from HealthCareMandA.com

Health care merger and acquisition activity slowed slightly in the third quarter of 2018. The number of deals announced reached 435, down 8% compared with the previous quarter, but was 13% higher than the same 386 deals announced in the same quarter in 2017. Combined spending in the third quarter totaled $30.4 billion, a low point in the year following three quarters of $100 billion-plus totals. This quarter's spending was 79% lower than the previous quarter ($144.6 billion) and 30% lower than the year-ago third quarter ($43.3 billion), according to HealthCareMandA.com.

Healthcare services transactions represented 63% of the third quarter's total. The Long-Term Care sector once again ranked the highest, with 103 deals and a 24% share of the quarter's transaction total. Year-over-year, growth was strong in Behavioral Health Care (+80%), Home Health & Hospice (+38%) and Long-Term Care (+34%). The services sectors accounted for 52% of the quarter's spending, approximately $15.9 billion.

Healthcare technology deals accounted for 37% of the third quarter's total. The Biotechnology sector was the busiest, posting 56 deals and making up 13% of the quarter's total. Three of the four sectors bested their performance in Q3:17, with Biotechnology deals up 33%, Medical Device deals up 78% and Pharmaceutical deals up 47%. The eHealth sector showed some weakness year-over-year, down 16%. Technology deals accounted for 48% of the quarter's spending, approximately $14.5 billion.

"The third quarter is often slower than the first two, but this year, the third quarter matched the first quarter's total of 437 deals. We think the fourth quarter will be even stronger, given the fluctuations in the equity markets and the anticipated increases in interest rates," said Lisa E. Phillips, editor of HealthCareMandA.com. VetStem Biopharma Shares News of the Successful Treatment of Partially Torn Cruciate Ligament in Young Labrador Retriever with the Pall V-PET™ Platelet Therapy System

Pippa Rose is a young Labrador retriever. Like most labs, Pippa is energetic, crazy, and fun-loving. When she was around one year old, Pippa suffered a partial tear to the cruciate ligament in her right knee. According to her mom, Kinsley, Pippa was limping constantly and was unable to run or go on walks. Kinsley reported that it broke her heart to see Pippa lie around in pain because it hurt too much to play. Pippa was started on nonsteroidal anti-inflammatories (NSAIDs) however her pain and lameness persisted. Pippa's veterinarian, Dr. Kristi Laffitte of Pet Star Animal Care of Ruston recommended treatment with Pall Veterinary Platelet Enhancement Therapy (V-PET™) and shortly thereafter, Pippa became Dr. Laffitte's first patient to be treated with V-PET™.

Pippa Rose received platelet enhancement therapy in August 2018. After a simple blood collection, Pippa's blood was run through the V-PET™ specialized filter, which is designed to selectively capture platelets to produce a platelet concentrate. The concentrate was injected directly into Pippa's right knee. Platelets, when exposed to damaged tissue, are triggered to release growth factors that stimulate tissue repair. Since Pippa was both the donor and recipient, there was very little risk of rejection.

Though Pippa was non-weight bearing on her bad leg for weeks prior to receiving platelet therapy, her owner reported that she walked on all fours just a few days after treatment. She was able to return to some of her regular puppy activities including running, going on walks, and playing with her dog and cat siblings. Both Dr. Laffitte and Kinsley reported that Pippa's overall quality of life had significantly improved.

Hydropads are modular, simple to layout and assemble. They bolt together to form an equipment wash rack array tailored to application requirements. The Flip Screen is attached to side gutter with hinges. It can be rotated when full to deposit dewatered debris next to gutter for removal.

2. Skid Steer Drive In Clean Out Tray: The Drive-in Tray is a simple heavy duty solids settling system. Wash water flows from Hydropad side gutter into Drive-in Tray by gravity. Weirs located in Drive-in Tray quiet fluid flow which promotes solids settling. Clarified wash water is transferred from integral sump tank by a pump. When solids accumulate a skid steer is used to remove them from Drive-in tray. Ideal for operations with a lot of heavy soil loads.

3. Side Gutter Drag Conveyor: The optional drag conveyor is an automatic solids removal system that can be combined with any Hydropad gutter. The conveyor transfers solids in contained wash water to one end of side gutter for disposal into a waste bin. Clarified wash water flows to the opposite end of gutter where it is collected in a sump tank and then discharged by a pump.

Portion-Control Salad Dressing Catches Tailwind of Foodservice Delivery Boom

Foodservice delivery sales grew by 20 percent over the past 5 years and riding on this boom is portion-control salad dressing, a delivery order staple. Gallons of portion-control salad dressing shipped by broadline foodservice distributors to commercial restaurants increased by 17 percent in the year ending June 2018 compared to same period year ago, reports The NPD Group.

Not surprisingly portion-control salad dressing had its highest gains through the quick service channel, which represents over 80 percent of foodservice delivery orders. Gallons of portion-control salad dressing shipped to quick service outlets increased to 26 million gallons in 2017, driven by gains at large QSR chains, according to NPD's Foodservice Future Views, which sizes operator foodservice purchases by product categories. Ranch-homestyle and ranch-buttermilk are among the two most popular dressing flavors and both grew by double-digits, as did Vinaigrette-balsamic and Caesar. By label type, operator and manufacturer labels represent the largest share of portion-control salad dressing shipped, with operator label providing the steepest growth of the two. Additionally, some brands offering portion-control salad dressing realized double-digit gains in gallons shipped.

Residential agent Alaimo is hosting a holiday toy donation drive for Toys for Tots as part of the NALA's collective cause marketing program, which encourages business across the country to collect toys during this time of year. New, unwrapped toys can be dropped off at 4151 Hollywood Blvd., Hollywood, FL, from November 1-21.

"I am honored to do my part for Toys for Tots. RE/MAX wants to show children in need they are not forgotten at Christmas, or at any time," said Alaimo. "I encourage the community to participate by donating a toy for this worthy cause."

Toys for Tots, whose mission is to collect new, unwrapped toys each holiday season and distribute them as Christmas gifts to children in need, is a program run by the United States Marine Corps Reserve, which distributes toys to children who may not otherwise receive a gift for Christmas.

Toys for Tots plays an active role in developing one of our nation's most valuable resources, its children. It also unites members of local communities in a common cause each year during its annual toy collection and distribution campaign. Toys for Tots was founded in 1947, and since its inception the Marines have distributed over 530,000,000 toys to more than 244,000,000 children across the United States.

Carl J. Taylor & Co. Predicts Texas Employers Will Adopt a More Direct Approach to Recruit Key Management Level Positions in 2019

As many companies struggle to find individuals for key positions, they are realizing that the time required for recruiting replacement and newly created positions is increasing. In many cases, they are also learning that the recruiting methods they have used in the past are not as effective in the current recruiting environment.

Carl Taylor is president of Carl J. Taylor & Co., a Dallas based executive search firm, which has extensive experience assisting smaller companies to fill higher level management and executive positions. Based on his experience and the recent trends he has seen, Taylor predicts that these organizations will need to adopt a more direct approach to their recruitment efforts to be successful in 2019. Taylor's firm is receiving a number of inquiries about his recruiting services from a wide range of large and small employers. "These companies are learning that the mix of skills and experiences they seek for a particular role are in greater demand in a growing economy" said Taylor. In many cases, these employers have delayed replacing or adding a key person because they thought they would be able to fill the position in a short amount of time. In other cases, they cite changes in the recruiting market which they did not anticipate.

Taylor notes that he hears many of the same comments from employers and business owners who contact him, including:

"Our networks and our recruiting methods which have worked in the past are no longer effective."

"Our internal recruiters do a great job with our recurring hires, but they do not have the time and/or expertise for our more senior level or one-of-a-kind positions."

"We are so busy we don't have time to do a thorough search to find the right person."

Many of the organizations which are having recruiting success are adopting a more active, direct contact program in identifying and attracting viable candidates for their key positions. They are employing a strategy which pinpoints the type of candidate they are seeking, and they go after those individuals which they deem to be appropriate for their need. They are not relying on passive approaches (job boards, ads, recruiters with limited databases, etc.) to provide the types of candidates they desire.

Every hire is important to an organization, and leadership roles are especially crucial. No company wants to make a bad hire because the impact of such a misstep can be huge. Whatever the reason for the management need, organizations are learning that finding the right person is not as easy as they thought it would be.
